The terms, in language you can actually check.

What you own, what you pay for, and what we do not promise. Short on purpose.

Who you are dealing with

This site and the studio behind it are operated by James Munluah, sole proprietor, trading as Yedid Studio. In these terms “we” and “the studio” mean that person, and “you” means anyone using this site or engaging us for work.

These terms are not the contract

Every engagement runs on a scope agreed in writing before work starts. That document names the outcome, the price and what is included. These terms sit underneath it and fill the gaps.

Where a signed scope and this page disagree, the signed scope wins. We would rather write that down than have you discover it in an argument.

Using the site

Read it, quote it, send it to someone. What we ask is that you do not scrape it wholesale, resell it, pass our writing off as your own, or use the forms to send anything abusive or unlawful.

The writing, case studies, research and design on this site are ours unless stated otherwise on the page itself. Client names and marks belong to those clients.

Who owns what we build

You do. On final payment the delivered work is yours outright, source included, with no licence back to us and nothing held hostage.

We keep our own pre-existing tooling and internal libraries, which is what lets the next client benefit from what we learned building yours.

“Final payment” means every invoice on the engagement has cleared. Until it has, the delivered work is licensed to you for review rather than transferred.

Money

Work is priced on the outcome it delivers, not the hours it takes. Prices shown on this site are the studio’s published floor, not a quote; your quote comes after the diagnostic call, in writing.

An engagement starts on an advance. Invoices are payable as set out in the scope. If an invoice goes unpaid we may pause the work rather than continue and argue about it later.

Scope changes

If you ask for something outside the agreed scope, we price it and you decide. We do not absorb it silently and we do not surprise you with it on an invoice.

What we do not promise

We name a number we expect the work to move, and we measure it. We do not guarantee a business result, because a business result depends on things outside the software: your market, your team, and what you do after we hand it over.

The site itself is provided as it is. Third-party services this site depends on can fail, and we do not warrant that it will be available without interruption.

Except where the law does not allow it to be limited, our liability on an engagement is capped at what you paid us for that engagement, and we are not liable for indirect or consequential loss.

Confidentiality

What you tell us about your business stays with us. We will not name you as a client or publish anything about the work without your agreement. If you would rather we never mention the engagement at all, say so and that is the end of it.

Ending an engagement

Either side can end an engagement in writing. You pay for work done up to that point; anything already delivered and paid for is yours to keep on the ownership terms above.

Law and disputes

These terms are governed by the laws of India, and the courts of New Delhi have jurisdiction over any dispute.

Before anyone reaches a court we would like the chance to fix it. Email us first.

Changes

We may update these terms; the date at the top moves when we do. A change does not alter the terms of an engagement already agreed in writing.
